Lender representation is an essential part of my practice. I assist commercial and private lenders in documenting and closing a broad range of secured and unsecured financing transactions, including real estate, business, construction, and development loans. I provide responsive, organized support through every phase of the transaction—helping ensure that even the most complex deals are handled efficiently, reliably, and with attention to detail.

I draft the complete loan document package tailored to the transaction, ensuring that all documents are aligned with the approved loan terms and protect the lender’s interests across all aspects of the deal. I conduct thorough due diligence review, including examination of title and survey matters, coordination of necessary endorsements, and resolution of exceptions to establish clear and insurable title.
For income-producing properties, I review leases to confirm compliance with lender requirements and prepare subordination, non-disturbance, and attornment agreements (SNDAs) and estoppel certificates as needed to secure the lender’s position. I also review other involved financing or subordinate debt to ensure proper lien priority and verify that intercreditor arrangements or subordination terms, if applicable, provide adequate protection for the lender.
I coordinate with the closing agent handling the acquisition closing, manage the flow of documents and funds, address issues that arise during the process, and ensure that loan closing requirements are fully satisfied in parallel with the contract closing.

I review construction contracts, architect agreements, engineer agreements, and related project documents to confirm that they comply with lender requirements and align with the approved loan structure. Where needed, I prepare agreements between the lender, borrower, and key project parties—such as the builder, architect, and engineer—to ensure continuity of project management and protect the lender’s ability to step in and complete the project if required.
I advise on draw procedures and prepare the necessary documentation to support each construction advance, including lien waiver requirements, contractor and subcontractor affidavits, and title update protocols. I coordinate with the lender and closing agent to ensure that all pre-disbursement conditions are met and that lien rights are properly managed at each stage of construction.
I assist in establishing clear title requirements and verification processes for final project completion and permanent loan conversion or payoff, where applicable. Throughout the construction period, I remain involved in the process as needed to address legal issues that arise, review draw-related submissions, and help ensure that the lender’s position remains fully protected through to project completion.

I review and structure the collateral package to ensure proper lien coverage across all asset classes involved in the loan, including accounts receivable, inventory, equipment, intellectual property, and real estate, where applicable. I prepare or review all required security agreements, UCC filings, and related documents to perfect the lender’s interest and confirm alignment with underwriting conditions.
I review existing debt and financing arrangements to identify any issues affecting lien priority or required consents. I also coordinate with borrower’s counsel to ensure that loan requirements are fully reflected in the borrower’s organizational and governance documents, and that all closing deliverables properly support the lender’s position.
Where the loan is connected to a business acquisition or includes real estate collateral, I coordinate with other parties involved in the transaction to align the loan closing with the broader deal timeline and manage document flow to avoid conflicts or delays. I remain involved through closing to address legal issues, coordinate with the closing agent, and ensure the lender’s interests are fully protected.

I review project budgets, development agreements, and related contracts to ensure that horizontal development costs and requirements are clearly documented and aligned with the loan structure. I coordinate review of plats, title issues affecting common areas and easements, and ensure that all recorded or required instruments are in place to support proper subdivision of the project. I also review and confirm that conditions tied to entitlements, permitting, and approvals are properly addressed in the loan documentation and closing process.
I advise on the timing and structuring of draw procedures to match the nature of horizontal work, including site clearing, grading, roads, utilities, stormwater improvements, and other infrastructure. I coordinate lien waiver processes and title update requirements to protect the lender’s position through each phase of development.
I review Phase 1 environmental reports and other site-related studies as necessary to confirm that lender requirements are satisfied and that any issues identified are properly addressed in the transaction. I also prepare or review agreements between the lender, borrower, and project parties—such as engineers and contractors—to help preserve lender rights should a project step-in become necessary.
Throughout the development period, I remain involved to support review of draw submissions, manage lien-related matters, and assist with resolution of legal issues that may arise as the project moves through its phases.

I handle the full structuring and documentation of asset-secured loans, including loans secured by inventory, receivables, equipment, intellectual property, financial accounts, and equity interests. I prepare or review security agreements, UCC filings, pledge agreements, and related documents to properly perfect and protect the lender’s collateral position.
For stock-secured loans and loans secured by financial accounts, I prepare tailored pledge agreements and coordinate directly with account custodians or third parties as needed to document and implement control and perfection arrangements. I also advise on the structuring of borrowing bases and prepare documentation to support the lender’s advance and reporting requirements, addressing nuances such as ineligible collateral, advance limitations, and borrowing base adjustments.
I review existing debt arrangements and coordinate intercreditor or subordination agreements where necessary to preserve lien priority. Throughout the transaction, I manage the legal side of the closing process to ensure that collateral requirements are fully satisfied and documented at closing.

I review and structure revolving line of credit transactions to align with the lender’s approved structure, including master line agreements with draw components tied to specific assets or purposes. For these transactions, I prepare master line agreements, sub-notes, and in-line agreements to document individual advances and tailored repayment or amortization terms.
I advise on borrowing base structures, reporting requirements, and collateral monitoring procedures. I coordinate with the lender to ensure that documentation reflects the operational realities of the facility and protects the lender’s rights with respect to each advance and related collateral.
Post-closing, I remain available to assist with questions related to borrowing base adjustments, draw mechanics, and the structuring of additional advances or modifications as the facility evolves.

I handle preparation and negotiation of loan renewal and modification documents, including extensions of maturity, adjustments to loan terms, restructuring of collateral, and covenant revisions. I frequently manage renewals and modifications for loans where I was not involved in the original closing, conducting a full review of the existing loan documents and collateral structure to identify any issues or gaps that need to be addressed.
When modifications involve additional advances, collateral substitutions, or changes to lien structure, I coordinate with the lender and title agent to ensure that updated filings, endorsements, or other protective measures are properly documented. I also prepare amended or restated loan documents where needed to clearly reflect the revised terms and ensure the lender’s position is fully protected going forward.
I manage the legal side of the renewal or modification process through closing, working closely with the lender to ensure that all necessary updates are properly documented and enforceable.

I structure and document cross-collateralized and cross-defaulted loan transactions to protect the lender’s position across all related facilities and collateral pools. I prepare or review the required loan documents to ensure that cross-collateralization and cross-default provisions are properly integrated and enforceable across all related notes, mortgages, security agreements, and guarantees.
I coordinate lien review and title coverage to confirm that all collateral assets are properly covered and that priority is properly established across the related loan structures. Where necessary, I prepare intercreditor or cross-lender agreements to address overlapping collateral or shared facilities.
